The Spanish Companies Register (Registro Mercantil) is managed by the Ministry of Justice and records essential business information, including company formation, ownership, and financial details. Public access to this data ensures transparency and supports legal compliance, fostering a secure business environment in Spain.

Annual report with financial statements 

Reports for all company types contain:  

  • Balance Sheet 
  • Profit & Loss Statement 
  • Annual Report (Memoria) 

Limited Liability Company (SL): 

In addition to the above requirements, the annual report must also include:

  • Statement of Changes in Equity (optional) 
  • Cash Flow Statement (only for large companies) 
  • Management Report (only for large companies) 
  • Audit (if meeting two of the following for two consecutive years: revenue > €5.7M, assets > €2.85M, employees > 50) 
  • General Shareholders’ Meeting approval 
  • Filing with the Commercial Registry 

Public Limited Company (S.A): 

In addition to the above requirements, the annual report must also include:

  • Statement of Changes in Equity (mandatory) 
  • Cash Flow Statement (mandatory) 
  • Management Report (mandatory) 
  • Audit (always required) 
  • General Shareholders’ Meeting approval 
  • Filing with the Commercial Registry 

Sole Proprietorship Limited Liability Company (S.L.U): 

  • Statement of Changes in Equity (optional) 
  • Cash Flow Statement (only for large companies) 
  • Management Report (only for large companies) 
  • Audit (if meeting the same criteria as S.L.) 
  • General Shareholders’ Meeting approval (by the sole shareholder) 
  • Filing with the Commercial Registry
